These Official Rules govern all sweepstakes, contests, drawings, and promotional giveaways operated by Stays (each, a "Sweepstakes" or "Giveaway"). These Rules are incorporated into and supplement our Terms and Conditions and Privacy Policy. To the extent of any conflict, the Official Rules for a specific Giveaway control with respect to that Giveaway.

1. Sponsor; Sweepstakes Period

Sponsor. Each Sweepstakes is sponsored by Greater Wave LLC, doing business as Stays.co, at 225 Michigan St NW, PO Box 3771, Grand Rapids, MI 49501 ("Sponsor" or "Stays").

Sweepstakes Period. The start and end dates and times of each Sweepstakes will be clearly stated in the official Giveaway Announcement Post on a participating Stays social media account (including without limitation @staysco, @cabinstays, @americanstays on Instagram or Facebook, or any other Stays-operated or partnering channel) and/or on the Sweepstakes page on the Stays Platform ("Announcement Post"). The duration of each Sweepstakes Period may vary from days to months as determined by Sponsor and specified in the Announcement Post.

Official Time-Keeping; Late Entries Void. Sponsor's time-keeping mechanism is the official time-keeping mechanism for all Sweepstakes. Any entry received after the official end date and time of the Sweepstakes Period is void, will not be entered into the pool of eligible entries, will not be counted toward the total number of entries, and will not affect the odds of winning, regardless of whether the entry appears on any social media post, in any comment thread, in any Sponsor system, or in any other location.

Right to Disable Entry Mechanisms. Sponsor reserves the right (but is not obligated) to disable, deactivate, restrict, or remove any entry mechanism at or near the close of the Sweepstakes Period. This may include, without limitation, turning off commenting on the Instagram or Facebook Announcement Post, deactivating the Sweepstakes entry form on the Stays.co Platform, or otherwise preventing further entries from being submitted. Sponsor's failure to disable any entry mechanism does not validate or accept any entries received after the close of the Sweepstakes Period.

Reasonable Processing Time. Sponsor reserves the right to take a reasonable period of time after the close of the Sweepstakes Period to compile eligible entries, verify entrant eligibility, run the random selection, and notify the potential winner.

Collaborations. A Sweepstakes may be operated in collaboration with a Host, a third-party Instagram or Facebook Outlet, or another partner, as defined in our Terms and Conditions. The Announcement Post will identify any collaborating parties.

Social Media Disclaimer. No Sweepstakes is sponsored, endorsed, administered by, or associated with Instagram, Facebook, Meta Platforms, Inc., or any other social media platform. By entering, entrants release Instagram, Facebook, Meta, and any other social media platform from any and all liability arising from the Sweepstakes. Any questions about a Sweepstakes should be directed to Sponsor, not to any social media platform.

2. Eligibility

Giveaways are open only to legal residents of the fifty (50) United States and the District of Columbia who are at least 18 years of age (or the age of majority in their state of residence, whichever is greater) at the time of entry.

Social Media Account Requirement. Entrants using a social media entry method (Instagram, Facebook, or any other social platform specified in the Announcement Post) must have a valid, active account on that platform. Creating an account on these platforms is free. The terms and conditions for creating and maintaining an account on any third-party social media platform are at the sole discretion of that platform. Multiple entrants may not share a single account on any platform.

Stays Account Requirement. Entrants using the Stays Account entry method must have a valid, active Stays.co account in good standing. Creating a Stays account is free; visit stays.co to register. The Stays.co entry method will be available once the Stays traveler-facing platform launches; certain earlier Sweepstakes may be limited to social media entry methods only.

Data and Connectivity. Internet access and data charges may apply when entering via Instagram or the Stays Platform, based on the entrant's data plan with their carrier.

Ineligible Persons. Employees, officers, directors, contractors, and agents of Sponsor, Greater Wave LLC, any participating Host, any participating Outlet, any participating prize provider, and their respective parent companies, subsidiaries, affiliates, and advertising and promotion agencies, and their immediate family and household members, are not eligible to enter or win. Immediate family and household members include spouse, parents, step-parents, children, step-children, siblings, step-siblings, and any persons living in the same household, whether related or not.

Automated Entries Prohibited. Entries generated by script, macro, bot, or any other automated means are void. Sponsor reserves the right to disqualify any entries it believes in good faith do not comply with these Official Rules.

Compliance and Void Where Prohibited. All applicable federal, state, and local laws and regulations apply. Giveaways are void where prohibited or restricted by law.

3. How to Enter

To enter a specific Sweepstakes during its stated Sweepstakes Period, you must satisfy the entry requirements stated in the Announcement Post. Each qualifying action constitutes one (1) entry, unless otherwise specified. Entries will not be acknowledged.

Entry methods vary by Sweepstakes. A specific Sweepstakes may offer one or any combination of the following entry methods. The Announcement Post for each Sweepstakes will identify which entry methods are available and the specific requirements for each.

Method 1: Instagram Entry

The specific Instagram entry requirements may vary by Sweepstakes. Review the Announcement Post for the final requirements applicable to that Sweepstakes. Typical Instagram entry requirements include:

• Following the participating Stays Instagram account(s) (such as @staysco, @cabinstays, and/or @americanstays) and any participating Host or Outlet account(s) specified in the Announcement Post
• Liking the official Announcement Post
• Leaving a comment on the official Announcement Post, including tagging friends as instructed (each unique valid tag may count as one entry, as specified in the Announcement Post)
• Sharing the Announcement Post to Instagram Stories or otherwise as specified

Method 2: Facebook Entry

Where Facebook entry is offered, the specific Facebook entry requirements will be stated in the Announcement Post. Typical Facebook entry requirements include:

• Following or liking the participating Stays Facebook page(s) and any participating Host or Outlet Facebook page(s) specified in the Announcement Post
• Liking the official Announcement Post
• Leaving a comment on the official Announcement Post, including tagging friends as instructed
• Sharing the Announcement Post as specified

Method 3: Stays.co Account Entry

The Stays.co Account entry method will be available once the Stays traveler-facing platform launches. Where this method is offered:

• Create or log in to your Stays.co account
• Navigate to the official Giveaway page on Stays.co, the URL for which will be provided in the Announcement Post
• Follow the on-screen instructions to submit your entry

Entry limits for the Stays.co Account method (such as "limit one entry per person" or "unlimited entries for specified actions") will be stated in the Announcement Post.

Cross-Method Entries

A Sweepstakes may allow entrants to participate via more than one entry method. Where multiple entry methods are offered, an entrant may enter via any one method, any combination of methods, or all methods, subject to the per-method entry limits stated in the Announcement Post. All eligible entries from all entry methods will be compiled into a single pool for winner selection (see Section 4).

The Announcement Post may also state that entry through specific methods is mandatory (for example, "Instagram and Facebook entry both required") rather than optional. Entrants must satisfy all stated mandatory entry requirements to qualify.

Entry Limits and Limit Enforcement

Each Sweepstakes will specify an entry limit per entrant for each entry method (for example, "1 comment = 1 entry, max 100 entries per entrant" or "max 10 entries per entrant"). These limits will be stated in the Announcement Post.

If an entrant exceeds the entry limit for any entry method in any Sweepstakes, Sponsor reserves the right, in its sole discretion, to void ALL of that entrant's entries across ALL entry methods for that Sweepstakes, not merely those entries exceeding the limit. This provision is intended to deter abuse, spam, and attempts to game the entry system. Sponsor's determination of whether an entry limit has been exceeded is final and binding.

Entrants are responsible for tracking their own entry counts. Sponsor is not obligated to warn an entrant approaching or exceeding an entry limit.

Entry Content Requirements

All comments, content, and submissions associated with an entry must comply with the Terms of Use of the platform used (Instagram, Facebook, and/or Stays.co). Any entry containing content that is infringing of any third-party right, harassing, degrading, defamatory, libelous, disparaging of another person or brand, advertising another brand, good, or service, in violation of any law, or inciting hatred, bigotry, racism, sexism, ageism, discrimination, bodily harm, injury, or illegal conduct is void.

4. Winner Selection; Process and Odds

Following the end of the Sweepstakes Period, Sponsor will randomly select one (1) potential winner (or such other number as is specified in the Announcement Post) from all eligible entries received across all entry methods. Sponsor controls all aspects of the winner selection process.

Entry Aggregation. All eligible entries received across all entry methods (Instagram, Facebook, Stays.co, and any other method specified in the Announcement Post) will be compiled into a single combined pool. Sponsor will use a third-party randomization tool to determine the potential winner ("Winner Selection") from that combined pool. Sponsor will then vet the Winner Selection to confirm eligibility and completion of all required entry actions before notification.

Only the prize or prizes stated in the Announcement Post will be awarded. The odds of winning depend on the total number of eligible entries received during the Sweepstakes Period.

If a potential winner is determined to be ineligible, forfeits, fails to respond to notification within the required time, fails to return required Winner Documents, or fails to claim the prize, Sponsor may, in its sole discretion, select an alternate potential winner from the remaining pool of eligible entries (time permitting in relation to any prize travel dates). Decisions of Sponsor are final and binding with respect to all matters related to the Sweepstakes. Sponsor is not obligated to award more than the number of prizes described in these Official Rules and the Announcement Post.

5. Winner Notification

A potential Winner Selection may be notified by:

• Direct Message (DM) on Instagram from a participating Stays Instagram account (such as @americanstays, @staysco, or @cabinstays), to the Instagram account used to enter; and/or
• Email from admin@stays.co to the email address associated with the Stays.co account used to enter.

To receive DMs from Sponsor or participating accounts, the entrant's Instagram account must be configured to accept direct messages from those accounts. Further communications to verify the potential winner and fulfill the prize may occur by voice call, video call, or email at Sponsor's discretion. Text messaging is not a primary method of notification for any Sweepstakes.

Response Window. The potential Winner Selection must respond to Sponsor's first notification attempt within forty-eight (48) hours of the date and time of the notification. Failure to respond within forty-eight (48) hours, ineligibility, failure to comply with these Official Rules (including failure to timely return required Winner Documents), or any other forfeiture event may result in disqualification, and an alternate winner may be selected from the pool of eligible entries (time permitting in relation to any prize travel dates).

SCAM PREVENTION (READ CAREFULLY)

A Winner Selection will ONLY be contacted via:

1. Direct Message on Instagram from a verified participating Stays Instagram account, OR
2. Email from the email address admin@stays.co

Any communication purporting to be from Stays via any other channel — including text message, phone call from an unknown number, email from any other address, or DM from any other Instagram account — should be considered fraudulent. Do not provide personal information, payment information, or identity documents to any party other than Sponsor through one of the two channels listed above. Report any suspected fraudulent communication to admin@stays.co immediately.

6. Winner Documents Required to Claim Prize

By entering or accepting a prize in any Sweepstakes, each winner agrees to be bound by these Official Rules and to comply with all federal, state, and local laws and regulations.

As a condition to claiming a prize and being verified as a winner, a potential winner shall, if requested, execute and return to Sponsor within ten (10) days of receipt:

1. A signed Affidavit of Eligibility (notarized where required by Sponsor)
2. A Liability and Publicity Release
3. A completed IRS Form W-9 (Request for Taxpayer Identification Number) if the approximate retail value of the prize is $600 or greater, or if otherwise required by law
4. Government-issued photo identification verifying the winner's identity, address, and date of birth, if requested

Failure to comply with these documentation requirements within ten (10) days may result in disqualification and selection of an alternate winner. Sponsor will report all required tax information to the Internal Revenue Service as required by law. The winner is solely responsible for all federal, state, and local taxes associated with any prize.

7. Prizes

Once the Winner Selection responds to Sponsor, is verified to meet all entry requirements, and provides the required Winner Documents, that person becomes the "Verified Winner" and Sponsor will deliver the prize.

The specific prize for each Sweepstakes will be stated in the Announcement Post.

Default Approximate Retail Value (ARV). Unless a different ARV is expressly stated for a specific Sweepstakes, the approximate retail value of each prize is approximately five hundred U.S. dollars ($500). This default ARV reflects the typical value of a Sweepstakes prize offered by Sponsor.

Higher-Value Prizes. Where a specific Sweepstakes offers a prize materially exceeding the default ARV, Sponsor will disclose the actual ARV of that specific prize either in the Announcement Post or in supplemental Sweepstakes-specific Official Rules. The Announcement Post will reference or link to where the actual ARV may be found.

No Guarantees. No specific prize, prize value, or prize type is guaranteed in these Official Rules. Specific prize details are confirmed only in the Announcement Post for each Sweepstakes.

Prize Conditions for Stay Prizes

Where the prize is a stay at a Host's property:

• Host Responsibility for the Stay. The Host providing the prize stay, not Sponsor, is solely responsible for the condition, safety, quality, accuracy, availability, and operation of the prize stay. Sponsor is not party to the stay arrangement between the Verified Winner and the Host.
• Booking and Availability. The prize stay is subject to the Host's availability, blackout dates, and booking policies. The Verified Winner must coordinate booking directly with the Host or the Host's designated property manager. Sponsor is not responsible for facilitating the booking or any process related to the stay.
• Travel and Incidental Costs. Travel to and from the prize stay location, meals, ground transportation, parking, gratuities, personal expenses, travel insurance, health insurance, and any other costs not explicitly listed as part of the prize are the sole responsibility of the Verified Winner and their guests. The prize covers only the cost of the stated accommodation.
• Other Fees. The Verified Winner may be required to provide a credit card on file, security deposit, cleaning fee, booking insurance, or other fee required by the Host. Specific fee requirements will be communicated by the Host. The Verified Winner is solely responsible for these costs.
• Property Rules. The Verified Winner and their guests must abide by all rules and policies of the Host's property, including check-in/check-out times, guest limits, pet policies, quiet hours, and any other property-specific regulations. Any damage to the property caused by the Verified Winner or their guests is the sole responsibility of the Verified Winner.
• Redemption Period. The prize stay must be booked and completed within three hundred sixty-five (365) days of the date the Verified Winner is notified, unless a longer period is stated in the Announcement Post. Unredeemed prize stays after the redemption period are forfeited with no replacement or compensation.
• Behavior. Sponsor has no liability if the Verified Winner or any guest engages in inappropriate, disruptive, or unlawful behavior and is asked to leave, is removed from the property, or has their booking canceled by the Host.

General Prize Conditions

• No Cash Equivalent. Prizes are not transferable, not assignable, and not redeemable for cash, except as expressly stated in the Announcement Post.
• Substitution. Sponsor reserves the right to substitute a prize component of equal or greater value if the original prize component becomes unavailable for any reason.
• No Replacement. Sponsor will not replace lost, stolen, damaged, or expired prize components.
• Unclaimed Portions. Any unclaimed or forfeited portion of a prize will not be awarded. Unused portions of a prize have no cash value.
• Taxes. Sponsor will report the approximate retail value of the prize to the IRS as required by law. The Verified Winner is solely responsible for all federal, state, and local taxes assessed on the prize.
• Insurance. The Verified Winner is solely responsible for any travel insurance or health insurance for themselves and their guests.

8. Limitation of Liability

The Sponsor, Greater Wave LLC, any participating Host, any participating third-party Outlet, Instagram, Meta Platforms, Inc., any prize provider, and each of their respective parent companies, subsidiaries, affiliates, officers, directors, employees, contractors, agents, and representatives (collectively, the "Released Parties") shall not be liable for:

1. Failed, returned, or misdirected notifications based on inaccurate contact information provided by entrants
2. Entries, notifications, or responses that are lost, late, incomplete, illegible, unintelligible, postage-due, misdirected, damaged, or otherwise not received in whole or in part by the intended recipient, including as a result of computer, technical, or human error of any kind
3. Electronic miscommunications or failures, technical hardware or software failures of any kind, lost or unavailable network connections, or failed, incomplete, garbled, or delayed transmissions
4. Technical malfunctions of telephone networks, computer systems, software, programs, equipment, or any combination thereof, including any injury or damage to entrant's or any other person's computer or device related to or resulting from participation in the Sweepstakes
5. Any incorrect or inaccurate information, whether caused by entrants, by posting, by electronic or human error, or by any equipment or programming associated with the Sweepstakes
6. Any acts beyond the Released Parties' control, including acts of God, government or regulatory action, equipment failure, terrorist acts, war, fire, flood, epidemic, pandemic, explosion, severe weather, hurricane, embargo, labor dispute, labor or material shortage, transportation interruption, civil disturbance, insurrection, or riot
7. Any unauthorized human intervention in any part of the entry process or the Sweepstakes
8. Any injury or damage to persons or property caused, directly or indirectly, in whole or in part, by participation in the Sweepstakes or by receipt, use, or misuse of any prize

Indemnification and Release. By entering, each entrant agrees to indemnify, release, and hold harmless the Released Parties from any and all damage, injury, death, loss, claim, action, demand, or other liability, including reasonable attorneys' fees, arising from acceptance, possession, or use of any prize (or any part thereof), participation in the Sweepstakes, or from any misuse or malfunction of any prize awarded, regardless of whether such claims, or knowledge of the facts constituting such claims, exist at the time of entry or arise at any time thereafter.

No Warranties on Prizes. Sponsor offers no warranty on any prize and disclaims any and all representations and warranties of any kind, whether express, implied, or statutory, regarding any prize, including any warranties of merchantability, fitness for a particular purpose, or non-infringement.

Disqualification and Right to Pursue Damages. Persons found tampering with, abusing, hacking, or otherwise disrupting any aspect of the Sweepstakes, or attempting to defraud Sponsor, may, as solely determined by Sponsor, be disqualified, have their entries deleted, and be barred from participating in future Sponsor Sweepstakes. Any attempt by an entrant or any other person to undermine the legitimate operation of the Sweepstakes may violate criminal and civil laws, and Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law.

These indemnification, release, and limitation of liability provisions survive the expiration of the Sweepstakes Period and the awarding of any prize.

9. Privacy and Publicity

Sponsor collects personal data about entrants for purposes of administering each Sweepstakes. Sponsor's full data practices are described in our Privacy Policy.

Sponsor may share entrant information with any participating Host, prize provider, fulfillment service, or other party as necessary to administer the Sweepstakes and deliver the prize.

Publicity Release. Unless prohibited by applicable law, by entering, each entrant grants Sponsor and its designees the right to use the entrant's name, photograph, likeness, voice, biographical information, city and state of residence, entry submissions, and any comments related to the Sweepstakes or prize in all media now known or hereafter developed, in perpetuity, in any manner Sponsor deems appropriate for promotional, marketing, and editorial purposes, without further notice, consent, or compensation to the entrant.

10. Additional Terms

Modification or Termination. Sponsor reserves the right to modify, suspend, abbreviate, or terminate any Sweepstakes at any time, for any reason, including but not limited to viruses, bugs, tampering, fraud, technical failures, or any other cause beyond Sponsor's control that corrupts or impairs the administration, security, or operation of the Sweepstakes. If Sponsor elects to abbreviate a Sweepstakes, the winner may be determined from all eligible entries received prior to the abbreviation event.

Notice of Cancellation or Modification. In the event of cancellation, abbreviation, or material modification, Sponsor will post notice on @americanstays and/or @staysco on Instagram and/or on the Sweepstakes page at stays.co.

Challenges. In the event a Sweepstakes is challenged by Instagram, Meta, or any legal or regulatory authority, Sponsor reserves the right to terminate the Sweepstakes or disqualify entrants residing in affected geographic areas. Sponsor shall have no liability to any entrant disqualified due to such action.

Right to Modify Rules. Sponsor reserves the right to modify these Official Rules at any time. The modified Rules will be effective upon posting on stays.co/legal/giveaway-terms.

11. Applicable Law; Disputes

These Official Rules and any Sweepstakes are governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict-of-laws principles.

Forum. By participating, entrants agree that any and all disputes, claims, and causes of action arising out of or connected with any Sweepstakes or any prize shall be resolved individually, without resort to any form of class action, and exclusively in a federal or state court located in Kent County, Michigan, or, at Sponsor's option, in binding arbitration in Grand Rapids, Michigan in accordance with the Terms and Conditions.

Damages Limitation. Any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Sweepstakes, but in no event attorneys' fees or any indirect, punitive, incidental, consequential, special, or exemplary damages, and entrant waives all rights to claim such damages. EACH ENTRANT HEREBY WAIVES ALL RIGHTS TO CLAIM PUNITIVE, INCIDENTAL, AND CONSEQUENTIAL DAMAGES AND ANY OTHER DAMAGES, OTHER THAN FOR ACTUAL OUT-OF-POCKET EXPENSES, AND WAIVES ANY AND ALL RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED.

Severability and Waiver. Failure to enforce any right or provision of these Official Rules shall not constitute a waiver of that right or provision. If any provision of these Official Rules is held by a court of competent jurisdiction to be invalid or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force.
