Last Updated: June 2026 Operator: Greater Wave LLC dba Stays, Stays.co ("Stays," "we," "us," or "our")

These Terms and Conditions ("Terms") govern your access to and use of the Stays platform, including the website at stays.co, any subdomains, mobile applications, APIs, dashboards, and related tools (collectively, the "Platform"). These Terms form a legally binding agreement between you and Greater Wave LLC.

By accessing or using the Platform in any capacity, you agree to these Terms and to our Privacy Policy. If you do not agree, you must not access or use the Platform.


1. Definitions

  • Platform: The websites, applications, portals, APIs, and tools operated under stays.co.
  • Visitor: Anyone who accesses the Platform without registering an account.
  • User: Any registered individual who has created an account. All Users may access both Host and Traveler features.
  • Host: A User who submits a Stay application and uses the Platform's hosting features.
  • Traveler: A User who uses the Platform for browsing, discovery, saving, or entering Giveaways.
  • Stay: A vacation rental property listed on the Platform by a Host.
  • Content: Any text, graphics, images, music, software, audio, video, data, information, or other materials generated, provided, or made available through the Platform, including User-Generated Content and our proprietary content.
  • User-Generated Content: Any Content a User posts, uploads, publishes, submits, or transmits to or through the Platform, including Stay listings, photos, descriptions, reviews, captions, host profiles, and all media submitted via direct upload or social media integration.
  • Promotion: Paid advertising offered to Hosts to promote a Stay via third-party Instagram outlets or other channels we operate.
  • Outlet: A third-party Instagram account or other social media channel used to publish Promotions.
  • Giveaway: A sweepstakes, contest, or promotional drawing operated by Stays or in partnership with Hosts, in which Visitors or Users may enter to win prizes such as free stays.
  • Exclusive Offer: A discount, deal, promotion, or other incentive offered by a Host and displayed through the Platform.
  • Booking Link: A hyperlink from a Stays listing to a third-party booking platform (such as Airbnb, Vrbo, or a Host's direct booking site) or to a Host's preferred booking method.
  • Verified Badge: A visual indicator displayed on a Stay listing or Host profile, signaling that the Stay or Host has completed our review process.
  • Organization: A collaborative account structure for Users working together on a Stay or Promotion.
  • Third Parties: External services integrated into the Platform, including but not limited to property management systems (PMS), Stripe, Mailgun, social media platforms, and the various Outlets through which we publish Promotions.


2. Eligibility

You must be at least 18 years of age (or the age of legal majority in your jurisdiction, whichever is greater) to use the Platform. By using the Platform, you represent and warrant that you meet this requirement.

The Platform is intended for use within the United States. While the Platform may be accessible globally, you are solely responsible for ensuring your use of the Platform complies with all laws and regulations applicable in your jurisdiction. Stays makes no representation that the Platform is appropriate or available for use in any particular location.

The Platform is not directed to children under 13, and we do not knowingly collect information from children under 13. If we learn that we have collected information from a child under 13, we will delete that information as required by law.


3. Account Registration and Access

You may browse the Platform as a Visitor without creating an account. To access features such as Stay submissions, Promotions, Giveaways, saving favorites, or other User functionality, you must register a User account.

All accounts have access to both Host and Traveler features; there are no separate account types. By creating an account, you agree to:

  • Provide accurate, current, and complete information during registration and keep your account information updated.
  • Maintain the confidentiality and security of your login credentials.
  • Accept full responsibility for all activities that occur under your account, whether or not you authorized them.
  • Use appropriate, non-offensive, non-infringing names and profile information.
  • Notify us immediately at admin@stays.co of any unauthorized use of your account or any breach of security.

Stays reserves the right to suspend, restrict, or terminate your account at our sole discretion, with or without notice, for any reason, including violation of these Terms, inaccurate information, prolonged inactivity, chargebacks, fraudulent activity, or risk to the Platform or other Users.


4. Privacy and Data

Your use of the Platform is governed by our separate Privacy Policy, which is incorporated into these Terms by reference and forms part of your agreement with Stays. The Privacy Policy describes in detail how we collect, use, store, share, disclose, and protect your information, as well as your rights regarding your personal data.

By using the Platform, you acknowledge that you have read, understood, and consent to the collection, use, and disclosure of your information as described in the Privacy Policy. If you do not agree to the Privacy Policy, you must not use the Platform.

For all questions, rights, requests, or disputes related to your personal data, please refer to the Privacy Policy.


5. Electronic Communications Consent

By creating an account or otherwise using the Platform, you consent to receive communications from us electronically, including transactional emails, notifications, marketing emails, SMS messages (where applicable), and in-app notifications. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

You may opt out of marketing communications at any time by following the unsubscribe instructions in those communications or by contacting admin@stays.co. Transactional communications related to your account, security, or Platform changes cannot be opted out of while your account is active.


6. Hosting and Stay Listings

Users who wish to list a Stay must submit an application for approval. Stays reserves the right to accept, reject, modify, or remove any application or listing at our sole discretion.

Host Representations and Responsibilities. As a Host, you represent, warrant, and agree that:

  • Accuracy: All information you provide in your Stay listing, including descriptions, photos, amenities, location, pricing, availability, and Exclusive Offers, is accurate, current, complete, and not misleading.
  • Ownership and Authority: You own the Stay, or have full legal authority to list and offer the Stay for short-term rental, including any required permissions from co-owners, landlords, HOAs, condominium boards, or other parties with an interest in the property.
  • Compliance: You comply with all applicable local, state, and federal laws, regulations, and requirements, including but not limited to short-term rental licensing, permits, zoning, occupancy limits, fire and life-safety codes, health and safety standards, tax registration and collection obligations, insurance requirements, and any HOA or covenant restrictions. You are solely responsible for any taxes owed in connection with bookings of your Stay.
  • No Verification: You acknowledge that Stays does not verify your ownership, your legal right to list, your compliance with applicable laws, your insurance coverage, the accuracy of your listing, or the suitability or safety of your property.
  • Property Maintenance and Safety: You will keep your Stay safe, well-maintained, and in compliance with all applicable safety standards. You are solely responsible for any injuries, damages, or losses arising from the condition or use of your Stay.
  • External Bookings: All bookings, transactions, payments, refunds, cancellations, and direct communications related to your Stay are handled outside of the Platform between you and Travelers. Stays is not party to any booking, does not process any bookings, and takes no commission on any booking.
  • Dispute Resolution: Stays is not responsible for resolving any disputes between you and Travelers, including disputes related to bookings, property conditions, payments, refunds, cancellations, or damages.

Verified Badge Disclaimer. The Verified Badge indicates that a Stay or Host has completed our internal review process. The Verified Badge is not a guarantee, certification, or warranty of any kind, including but not limited to the quality, safety, accuracy, condition, legality, insurance status, or ownership of the Stay. Stays makes no representation that Verified listings are superior to non-Verified listings for any particular Traveler's needs. Travelers rely on the Verified Badge at their own risk.


7. Promotions

Approved Hosts may purchase Promotions to have content about their Stay published to third-party Instagram Outlets or other channels we operate.

Key Promotion policies:

  • Final Sales: All Promotions are final. No refunds or revisions will be issued unless Stays fails to publish the agreed Promotion altogether or as expressly provided in Section 9 (Payment Terms).
  • Editorial Discretion: Promotions are subject to our content quality standards and editorial discretion. Stays reserves the right to reject, edit, modify, request revisions to, delay, or remove Promotion content at any time and for any reason at our sole discretion.
  • No Performance Guarantees: Stays offers no guarantee, warranty, or representation regarding the performance, reach, impressions, engagement, conversion, click-through rates, bookings generated, or return on investment of any Promotion. Outcomes depend on factors outside Stays' control, including algorithm changes, Outlet performance, and audience response.
  • Outlet Changes and Discontinuation: Stays may add, remove, modify, replace, or discontinue any Outlet at any time at our discretion. Stays makes no representation that any particular Outlet will continue to be available or that any specific account or follower count will be maintained.
  • Host Content Risk: If a Host submits low-quality, unusable, infringing, or otherwise unsuitable content for a Promotion, Stays may cancel the Promotion and issue a refund at our discretion, or substitute alternative content. Stays bears no liability for the quality or appropriateness of Host-provided Promotion content.
  • Third-Party Platform Policies: All Promotions are subject to the terms, content policies, and operational decisions of the underlying Outlets and the social media platforms hosting them (e.g., Instagram). Stays is not responsible for Outlet account suspensions, content takedowns, shadow-bans, algorithm changes, or any other actions by social media platforms that affect Promotion performance.


8. Giveaways

From time to time, Stays may operate Giveaways through which Visitors or Users may enter to win prizes, including but not limited to free stays at Hosted properties, travel credits, or merchandise.

All Giveaways are governed by our separate Giveaway Terms, which are incorporated into these Terms by reference and form part of your agreement with Stays. The Giveaway Terms set out the full rules, eligibility requirements, prize details, sponsor information, entry mechanics, publicity release, tax responsibility, release of liability, and other provisions that govern your participation in any Giveaway.

In addition to the Giveaway Terms, each individual Giveaway may have its own Official Rules posted at the time the Giveaway is offered. Where the Official Rules for a specific Giveaway conflict with the general Giveaway Terms or these Terms, the Official Rules control with respect to that specific Giveaway.

Core liability and rights framing for all Giveaways:

  • Stays as Sponsor: Greater Wave LLC is the sponsor of all Giveaways unless explicitly stated otherwise in the Official Rules.
  • No Purchase Necessary: Unless explicitly stated otherwise in the Official Rules, no purchase or payment is necessary to enter or win a Giveaway. Making a purchase does not improve your chances of winning.
  • Void Where Prohibited: All Giveaways are void where prohibited or restricted by applicable law.
  • Host-Provided Prize Stays: Where a Giveaway prize is a free stay at a Host's property, the Host (not Stays) is responsible for honoring the prize and for the condition, safety, quality, accuracy, and availability of the prize stay. Stays bears no liability for any matter related to the prize stay itself.
  • Release of Liability: By entering any Giveaway, each entrant releases Stays, Greater Wave LLC, its affiliates, partners, employees, and agents from any and all claims, damages, losses, costs, and expenses arising from or related to the Giveaway, prize acceptance, prize use, or participation in the Giveaway, including without limitation personal injury, property damage, or loss of any kind.
  • Modification or Termination: Stays reserves the right to modify, suspend, or terminate any Giveaway at any time, for any reason, without prior notice.

9. Exclusive Offers and Direct Booking Links

The Platform may display Exclusive Offers and Booking Links from Hosts and from third-party booking platforms (such as Airbnb, Vrbo, or Hosts' direct booking sites).

  • Host Is the Offeror: All Exclusive Offers are made by Hosts, not by Stays. Stays merely displays information about Offers as submitted by Hosts. The terms, validity, availability, eligibility, redemption conditions, and honoring of any Exclusive Offer are the sole responsibility of the Host. Stays makes no representation or warranty regarding any Exclusive Offer.
  • Pricing and Availability Subject to Change: Pricing, availability, and Offer terms displayed on the Platform are provided by Hosts and third parties and may change without notice. Stays does not guarantee the accuracy of any pricing, availability, or Offer information.
  • Third-Party Booking Links: Booking Links direct Travelers to third-party platforms or to Hosts' own booking pages. All bookings made through these links are subject to the terms, conditions, policies, and pricing of the third-party platform or Host. Stays is not party to any such booking and bears no responsibility for booking confirmation, payment processing, cancellation, refunds, disputes, accommodation quality, or any other matter related to the booking.
  • Affiliate Disclosure: Stays may receive referral fees, affiliate commissions, or other compensation when Travelers click through Booking Links or make bookings on certain third-party platforms. These arrangements do not affect the price you pay or our editorial decisions about which Stays to feature.


10. Payment Terms

All purchases on the Platform are processed by Stripe, Inc., a third-party payment processor. Stripe's terms of service and privacy policy govern your use of Stripe's services. By submitting payment, you agree:

  • To pay in full at the time of checkout.
  • That all Promotion sales are final unless Stays is unable to fulfill the Promotion, in which case a refund or credit will be issued at our discretion.
  • That add-ons, boosting, and media selection are handled according to the Promotion design process as described on the Platform.
  • That Stays may cancel a Promotion and issue a refund if Hosts provide low-quality or unusable media.
  • That in the event of a chargeback or payment dispute, Stays reserves the right to suspend or terminate the associated account immediately and to pursue recovery of disputed funds through any lawful means.
  • That Stays may change pricing for Promotions or other services with reasonable notice provided through the Platform or by email.
  • That you are responsible for all taxes, fees, and charges associated with your purchases, except as expressly provided otherwise.


11. Platform Content and Intellectual Property

11.1 User-Generated Content License

By uploading, submitting, posting, displaying, or otherwise providing any User-Generated Content to or through the Platform (including media uploaded directly, media imported from your social media accounts, descriptions, captions, reviews, and any other Content), you grant Greater Wave LLC and its affiliates a non-exclusive, worldwide, royalty-free, fully paid-up, perpetual, irrevocable, sublicensable, and transferable license to use, host, store, cache, reproduce, modify, adapt, edit, translate, publish, create derivative works from, distribute, display, perform, and otherwise exploit such User-Generated Content for any purpose, including without limitation operating the Platform, marketing and promoting the Platform, displaying the User-Generated Content on the Platform and on third-party channels (including social media Outlets), creating promotional materials, and any other lawful business purpose, in any media now known or hereafter developed, without further notice, attribution, consent, or compensation to you.

11.2 Content Representations and Warranties

By submitting, claiming, or otherwise associating any User-Generated Content with your Stay listing, you represent, warrant, and agree that:

  • You are the sole owner of the User-Generated Content, or you have obtained all necessary licenses, rights, consents, releases, and permissions to use the User-Generated Content and to grant Stays the license described in Section 11.1.
  • You have specifically secured all necessary rights from any photographer, videographer, designer, copywriter, illustrator, architect, stylist, or other creator who contributed to the User-Generated Content. This includes professional photography commissioned by you, photographs taken by third parties at your property, photographs originally provided by a property manager or rental management company, photographs used in connection with any third-party platform (such as Airbnb, Vrbo, Booking.com, or any other booking platform or social media account), and any other content where a creator other than you may hold rights.
  • The User-Generated Content does not and will not infringe, violate, or misappropriate any third party's intellectual property rights (including copyright, trademark, trade secret, and patent rights), rights of privacy, rights of publicity, contract rights, moral rights, or any other rights of any third party.
  • You have obtained all necessary releases and consents from any individuals depicted, recognizable, or identifiable in the User-Generated Content (including but not limited to guests, family members, employees, neighbors, and any others), permitting Stays to use the User-Generated Content as described in these Terms.
  • The User-Generated Content does not contain any malicious code, harmful content, or any material that is defamatory, obscene, harassing, threatening, hateful, or otherwise unlawful or objectionable.
  • All factual statements in the User-Generated Content (including in Stay listings) are true, accurate, and not misleading.
  • You will not submit any User-Generated Content that was generated, in whole or in substantial part, by artificial intelligence systems where doing so would infringe on the rights of third parties.

You agree to indemnify, defend, and hold harmless Stays from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to any breach of these representations and warranties, including any third-party intellectual property infringement claim arising from your User-Generated Content. This indemnification specifically includes any claim by a photographer, videographer, designer, or other creator asserting rights in any image, video, or other media included in your listing.

11.3 Right to Use Your Name, Brand, and Property Information

By creating a Host account or submitting a Stay, you grant Stays the right to use your name, business name, property name, property location, property photographs, property descriptions, logo, brand assets, and other identifying information for the purpose of displaying your Stay on the Platform, marketing and promoting the Platform and its features, and operating Promotions, Giveaways, and Exclusive Offers related to your Stay. This right survives termination of your account with respect to Content already published.

11.4 Stays' Intellectual Property

All Content on the Platform other than User-Generated Content, including but not limited to the Platform's design, layout, structure, code, text, graphics, logos, icons, images, photographs, videos, audio, software, compilation, and the "Stays" name, marks, and brand assets, is the exclusive property of Greater Wave LLC or its licensors and is protected by United States and international copyright, trademark, trade dress, patent, and other intellectual property laws.

You may not copy, reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, transmit, sell, license, or otherwise exploit any of Stays' intellectual property without our express prior written permission. Limited, revocable permission is granted to access and use the Platform for its intended purposes only.

11.5 Feedback

If you provide any feedback, suggestions, ideas, or comments to Stays ("Feedback"), you grant Stays an unrestricted, perpetual, irrevocable, non-exclusive, fully paid-up, royalty-free, worldwide, transferable, sublicensable right and license to use, exploit, and commercialize the Feedback in any manner and for any purpose, without notice, attribution, or compensation to you.

11.6 Content Removal and Editorial Control

Stays reserves the right, but not the obligation, to monitor, screen, edit, modify, or remove any User-Generated Content at any time and for any reason at our sole discretion, including without notice. We bear no liability for any removal, modification, or retention of any User-Generated Content.

11.7 Section 230 Safe Harbor; No Liability for User Content

Stays is an interactive computer service within the meaning of Section 230 of the Communications Decency Act (47 U.S.C. § 230). Under Section 230, Stays is not the publisher or speaker of any User-Generated Content provided by another User or by any third party, and Stays is not liable for any User-Generated Content posted, uploaded, transmitted, or otherwise made available through the Platform by Users or third parties.

You acknowledge and agree that Stays does not endorse, verify, or guarantee the accuracy, completeness, legality, safety, or quality of any User-Generated Content. Stays does not actively monitor all User-Generated Content and is not obligated to do so. Stays' exercise of editorial control over User-Generated Content (including curation, removal, or modification) does not constitute publication and does not waive Stays' protections under Section 230.

To the maximum extent permitted by law, Users and third parties (not Stays) are solely responsible for any User-Generated Content they submit, post, upload, transmit, or otherwise make available through the Platform, and for any consequences, claims, damages, or liabilities arising from that content.

11.8 Pre-Claim Draft Listings; Ratification on Claim

Stays may, for outreach, curation, and platform development purposes, prepare draft listing pages for properties before the Host has registered an account or claimed the listing ("Draft Listings"). Draft Listings may include property information (such as property name, location, descriptions, and amenities) and photographs or other media obtained from publicly accessible sources, including the Host's own publicly-listed presence on third-party platforms (such as Airbnb, Vrbo, Booking.com, or social media accounts). Draft Listings are distinguishable from claimed listings on the Platform.

Claim and Ratification. When a Host claims a Draft Listing by registering a Stays account, accepting these Terms, and confirming the listing, the Host:

(a) grants Stays the User-Generated Content License set out in Section 11.1 with respect to all content included in the claimed listing, including any content sourced or uploaded by Stays prior to the claim;

(b) ratifies and confirms all prior uses by Stays of the content included in the claimed listing as if the license set out in Section 11.1 had been granted as of the date of first use by Stays;

(c) makes the representations and warranties set out in Section 11.2 with respect to all content included in the claimed listing, including any content sourced or uploaded by Stays prior to the claim, and including specifically the representations regarding photographer, videographer, and other creator rights; and

(d) accepts the indemnification obligation set out in Section 20 with respect to all content included in the claimed listing, including for any pre-claim period during which Stays sourced, uploaded, or displayed such content.

Rights-Holder Objections; Takedown. If any property owner, photographer, videographer, copyright holder, or other rights-holder objects to a Draft Listing or to any content within a Draft Listing, Stays will remove the objectionable content promptly upon receipt of a good-faith request via admin@stays.co or via the DMCA process set out in Section 12.

No Consent by Inaction. A property owner's failure to claim a Draft Listing or to object to a Draft Listing does not constitute consent to its display or to the use of any content within it. Stays may, at its discretion, take down unclaimed Draft Listings after a reasonable period.


12. Copyright Infringement and DMCA Policy

Stays respects the intellectual property rights of others and expects Users to do the same. We comply with the Digital Millennium Copyright Act ("DMCA") and will respond to valid notices of alleged copyright infringement. Stays' Designated Agent is registered with the U.S. Copyright Office under Registration Number DMCA-1074457. The registration may be confirmed via the Copyright Office's DMCA Designated Agent Directory at https://www.copyright.gov/dmca-directory/.

To submit a DMCA takedown notice, send the following to Stays' Designated Agent at the contact information below:

  1. A physical or electronic signature of the copyright owner or an authorized representative.
  2. Identification of the copyrighted work claimed to be infringed.
  3. Identification of the material that is claimed to be infringing, including its location on the Platform (URL or specific identifier).
  4. Your contact information (name, address, telephone, email).
  5. A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law.
  6. A statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner.

We will investigate valid notices promptly and may remove or disable access to allegedly infringing material. We may also terminate the accounts of repeat infringers in accordance with our repeat infringer policy.

If you believe your Content was wrongly removed, you may submit a counter-notice as provided by the DMCA. Misrepresentations in a DMCA notice or counter-notice may subject the submitter to liability under 17 U.S.C. § 512(f).

13. Third-Party Tools and Services

The Platform integrates with and relies on various third-party services, including but not limited to:

  • Stripe (payment processing)
  • Mailgun (transactional email delivery)
  • Property Management Systems (PMS) that may include Lodgify, Hostfully, OwnerRez, and/or similar (as linked by Hosts)
  • Social media platforms including Instagram, TikTok, Facebook, and others
  • Third-party booking platforms such as Airbnb, Vrbo, and Booking.com (linked from Stay listings)
  • Analytics, hosting, and infrastructure providers such as Google Analytics, Alphabet, and others.

Your use of any third-party service through the Platform is subject to the terms, conditions, and privacy policies of that third party. Stays is not responsible for the practices, content, security, availability, or actions of any third-party service, including:

  • Errors, outages, data loss, data breaches, or service disruptions originating with third parties.
  • Changes to third-party APIs, terms, fees, or functionality that affect the Platform.
  • Content posted, distributed, or modified by third-party platforms.
  • Performance, reach, follower counts, or operational decisions of Outlets.
  • Bookings, payments, or communications occurring on third-party platforms.


14. Marketplace Limitations

Stays Is Not a Booking Platform. Stays does not process bookings or transactions. We are not a party to any booking, rental agreement, or transaction between Hosts and Travelers, whether occurring through Booking Links, off-platform communications, PMS systems, or any other means.

Stays Does Not Own Listed Properties. Stays does not own, operate, manage, or insure any property listed on the Platform. We are not affiliated with any Host or any property listed on the Platform. We do not endorse any specific Host, Stay, Traveler, Outlet, or third-party service. Any references on the Platform do not constitute an endorsement, recommendation, or warranty of any kind.

Use of the Platform at Your Own Risk. You acknowledge and agree that:

  • You rely on information on the Platform (including Stay listings, photos, descriptions, pricing, availability, Verified Badges, and Exclusive Offers) at your own risk.
  • Stays bears no responsibility for the accuracy or completeness of any listing, the condition or safety of any Stay, the legality of any rental, the conduct of any Host or Traveler, bookings made off-platform, traveler satisfaction, property damage, personal injury, fraud, scams, theft, or any other harm arising from your use of the Platform or interactions with Users.
  • Communications between Users on or off the Platform are the sole responsibility of the Users involved.


15. User Conduct and Security

You agree not to:

  • Misrepresent yourself, your Stay, or any other matter.
  • Share login credentials with unauthorized individuals or grant Platform access to individuals who should not have it.
  • Misuse your Organization role or dashboard access.
  • Interfere with the Platform, bypass security measures, or use automation (including bots, scrapers, or AI agents) to access or interact with the Platform without our express prior written permission.
  • Engage in any illegal activities or promote illegal activities through the Platform.
  • Transmit or distribute spam, unsolicited commercial messages, or chain letters.
  • Harass, stalk, defame, abuse, or violate the legal rights of any other User or third party.
  • Post or transmit any content that is discriminatory, hateful, obscene, defamatory, threatening, or otherwise objectionable.
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
  • Upload viruses, malware, corrupted files, or any other malicious code or material.
  • Reverse engineer, decompile, or attempt to extract the source code of any part of the Platform.
  • Use the Platform to compete with Stays, copy or scrape Stays' content, or build a competing product.
  • Attempt to circumvent any access restriction, rate limit, paywall, or feature limitation.

You are solely responsible for managing user permissions within your Organization. Stays is not liable for any damages caused by misuse or unauthorized access by any user with access to your Organization.

16. Beta and Pre-Launch Features

From time to time, Stays may make available beta, alpha, preview, pilot, or other pre-release features ("Beta Features") on the Platform. Beta Features are provided "AS IS" and "AS AVAILABLE" without any warranty of any kind. Beta Features may be modified, suspended, discontinued, or made unavailable at any time without notice. Performance, accuracy, and availability of Beta Features may vary and should not be relied upon. Your use of Beta Features is at your sole risk.

16A. Artificial Intelligence; Automated Tools

The Platform may use artificial intelligence ("AI"), machine learning, large language models, automated decision systems, and similar technologies (collectively, "AI Tools") to power features including, without limitation, content curation and ranking, recommendation systems, fraud detection, content moderation, search functionality, customer support, marketing personalization, creator marketplace features, and other operational and user-facing functions.

AI Output Disclaimer. AI Tools may produce outputs (including recommendations, summaries, classifications, translations, and generated text or images) that contain errors, omissions, biases, or inaccuracies. You should not rely on AI-generated output as authoritative, complete, or free from error. Stays makes no warranty regarding the accuracy, reliability, or fitness for purpose of any AI-generated content surfaced through the Platform.

Human Review Where Material. Decisions that materially affect Users (including approval of Stay listings, issuance of the Verified Badge, removal of User accounts, and resolution of disputes) involve human review and are not based solely on automated processing.

No Solely-Automated Decisions with Legal or Significant Effect. To the extent applicable law affords you the right not to be subject to a decision based solely on automated processing that produces legal or similarly significant effects, Stays does not make such decisions without human involvement.

FTC Compliance. Where AI is used in a way that materially affects your experience or the information presented to you, Stays will provide reasonable disclosure consistent with Federal Trade Commission guidance. Where AI-generated content is presented as such on the Platform, it will be reasonably identified as AI-generated.

Reservation of Rights. Stays reserves the right to expand, modify, or discontinue its use of AI Tools at any time as the Platform evolves. Material changes to the Platform's use of AI that affect your rights will be communicated in accordance with Section 28 (Changes to Terms).


17. Termination

You may terminate your account at any time by following the account closure instructions on the Platform or by contacting admin@stays.co.

We may suspend or terminate your account or restrict your access to the Platform at any time, with or without notice, for any reason, including violation of these Terms, suspected fraudulent or unlawful activity, prolonged inactivity, chargebacks, or risk to the Platform or other Users.

Effects of Termination. Upon termination:

  • Your right to access and use the Platform ends immediately.
  • We may retain certain information as required by law, for legitimate business purposes, or as permitted by our Privacy Policy.
  • Any User-Generated Content already published, distributed, or used in connection with Promotions, Giveaways, marketing materials, or other purposes remains subject to the license granted in Section 11.1 and may continue to be used by Stays in accordance with these Terms.
  • Outstanding obligations (including payment obligations, indemnification obligations, and intellectual property licenses) survive termination.


18. Survival

The following provisions survive any termination or expiration of these Terms: Sections 7 (Promotions, with respect to obligations arising prior to termination), 8 (Giveaways, with respect to active entries), 10 (Payment Terms, for any outstanding amounts), 11 (Platform Content and Intellectual Property), 12 (Copyright and DMCA), 14 (Marketplace Limitations), 15 (User Conduct), 17 (Termination), 18 (Survival), 19 (Disclaimers), 20 (Indemnification), 21 (Arbitration), and 22 through 28.


19. Disclaimers and Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • "AS IS" Basis: The Platform and all Content are provided "AS IS" and "AS AVAILABLE" without warranties or guarantees of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, quiet enjoyment, or any warranties arising from course of dealing or usage of trade.
  • No Guarantees of Performance: We do not guarantee Platform uptime, availability, security, freedom from defect, accuracy, or that the Platform will be error-free or uninterrupted.
  • No Liability for Content or User Conduct: Stays is not responsible for any User-Generated Content, the conduct of any User, the condition or safety of any Stay, the accuracy of any listing, the honoring of any Exclusive Offer, the performance of any Promotion, the outcome of any Giveaway (beyond Stays' direct obligations as Sponsor where applicable), or any interactions between Users.
  • No Liability for Third Parties: Stays bears no liability for any act, omission, error, breach, or failure of any third-party service, Outlet, PMS provider, booking platform, social media platform, or other Third Party.
  • Limitation of Damages: To the maximum extent permitted by law, Stays, Greater Wave LLC, and their respective affiliates, officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages, including without limitation lost profits, lost revenue, lost data, business interruption, personal injury, or property damage, arising from or related to your use of the Platform or any Content, even if Stays has been advised of the possibility of such damages.
  • Cap on Liability: To the maximum extent permitted by law, Stays' total cumulative liability arising from or related to these Terms or your use of the Platform shall not exceed the greater of (a) the total amounts paid by you to Stays in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

Some jurisdictions do not allow the exclusion of certain warranties or limitations on certain damages. To the extent applicable law does not permit such exclusions or limitations, our liability is limited to the maximum extent permitted by law.


20. Indemnification

You agree to indemnify, defend, and hold harmless Stays, Greater Wave LLC, and their respective affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising from or related to:

  • Your access to or use of the Platform.
  • Your violation of these Terms, any applicable law, or the rights of any third party.
  • Your User-Generated Content, including any claim that your User-Generated Content infringes, violates, or misappropriates any third party's intellectual property, privacy, publicity, contract, or other rights.
  • Your Stay listing, including any claim arising from the condition, safety, legality, accuracy, or operation of your Stay.
  • Your interaction with any Host, Traveler, or other User, on or off the Platform.
  • Your participation in any Promotion, Giveaway, Exclusive Offer, or Organization.
  • Any tax obligation arising from your activities, including but not limited to bookings of your Stay.
  • Any chargeback, fraud, or payment dispute arising from your transactions.

We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate fully with our defense.


21. Arbitration, Class Waiver, and Governing Law

Notice of Dispute. Before initiating arbitration, the party raising a dispute must first send a written Notice of Dispute to the other party describing the nature and basis of the claim and the relief sought. Stays' notice address is admin@stays.co. Your notice address is the email or mailing address associated with your account. The parties will attempt in good faith to resolve the dispute within thirty (30) days of the Notice of Dispute. If unresolved, either party may proceed to arbitration.

Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms, the Privacy Policy, the Giveaway Terms, or your use of the Platform that is not resolved through the Notice of Dispute process shall be resolved exclusively through binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules and, where applicable, its Consumer Arbitration Rules. The arbitration shall be conducted by a single arbitrator in Grand Rapids, Michigan, or by video conference at the option of the parties. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

Class Action and Representative Action Waiver. YOU AND STAYS EACH WAIVE THE RIGHT TO TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, REPRESENTATIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR COLLECTIVE OR CONSOLIDATED PROCEEDING OF ANY KIND, except where prohibited by law. The arbitrator may not consolidate more than one party's claims and may not preside over any form of representative or class proceeding.

Mass Arbitration. If twenty-five (25) or more substantially similar arbitration demands are filed against Stays by or with the assistance of the same law firm or coordinating counsel within a sixty (60) day period, the parties agree that the claims will be administered under the AAA Mass Arbitration Supplementary Rules (or equivalent successor rules) and may be bellwethered or otherwise grouped as the AAA determines appropriate. This provision is intended to fairly administer high-volume claims while preserving each party's right to individual resolution.

Small Claims Exception. Either party may bring an individual action in small claims court for any dispute that qualifies, in lieu of arbitration.

Right to Opt Out of Arbitration. You have the right to opt out of the binding arbitration and class waiver provisions of this Section 21 by sending written notice of your decision to opt out to admin@stays.co with the subject line "Arbitration Opt-Out" within thirty (30) days of first accepting these Terms. Your notice must include your full name, the email address associated with your account, and a clear statement that you wish to opt out of arbitration. Opting out does not affect any other provision of these Terms. If you opt out, neither you nor Stays will be required to arbitrate disputes between you, and either party may bring claims in court in the forum specified below.

Governing Law. These Terms and any disputes arising hereunder are governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict-of-laws principles. The federal and state courts located in Kent County, Michigan have exclusive jurisdiction over any matters not subject to arbitration, including matters where you have opted out of arbitration.

Time Limit. Any claim arising out of or related to these Terms or your use of the Platform must be brought within one (1) year after the claim arose; otherwise, the claim is permanently barred.


22. State-Specific Notices

California Residents. Under California Civil Code Section 1789.3, California users are entitled to specific consumer rights notices. The Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted in writing at 1625 N. Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210. For more information on your privacy rights under the California Consumer Privacy Act (CCPA), please see our Privacy Policy.

Other Jurisdictions. Where applicable law requires additional disclosures, those disclosures are incorporated by reference and available upon request to admin@stays.co.


23. Force Majeure

Stays shall not be liable for any failure or delay in performing its obligations under these Terms to the extent such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, riots, civil disturbances, government actions, labor disputes, internet or telecommunications failures, cyber attacks, or failures of third-party services.


24. Severability

If any provision of these Terms is held by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect.


25. No Waiver

The failure of Stays to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. No waiver of any provision shall be effective unless in writing and signed by Stays.


26. Entire Agreement

These Terms, together with our Privacy Policy, our Giveaway Terms, and any Official Rules for specific Giveaways or features, constitute the entire agreement between you and Stays regarding the Platform and supersede all prior or contemporaneous agreements, understandings, and communications, whether written or oral.

In the event of any conflict between these Terms and a separate referenced policy (Privacy Policy, Giveaway Terms, or Official Rules), the more specific document controls with respect to the subject matter it addresses.


27. Assignment

You may not assign or transfer these Terms or any of your rights or obligations under these Terms without our prior written consent. Any attempted assignment in violation of this section is void. Stays may assign or transfer these Terms, in whole or in part, at any time without notice or consent, including in connection with a merger, acquisition, reorganization, sale of assets, or operation of law.


28. Changes to Terms

We reserve the right to modify these Terms at any time. We may provide notice of material changes via the Platform, email, or other reasonable means. The revised Terms will be effective as of the "Last Updated" date indicated at the top. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Platform.
